Users must retain all copyright and trademark notices, including any other proprietary notices, contained in the materials, and Users agree not to alter, obscure or obliterate any of such notices. None of the content or data found in this Site may be copied, reproduced, republished, sold, transferred, modified or distributed in any way without the prior written consent of Launch Websites, its licensors and/or its third party providers and distributors. Trademarks, logos, images, html code and service marks displayed on the Site are the property of Launch Websites. Users agree not to display or use such marks without prior written consent of Launch Websites.
General Terms
Changes to Agreement and Services: Launch Websites reserves the right to change this Agreement, Launch Websites services, and Launch Websites charges at any time.
Launch Websites shall not change any current 12 month payment plans charges already set up during this process.
General Warranties and Undertakings
1. Launch Websites accepts liability for the supply of the Service to the client to the extent provided in this agreement.
2. Launch Websites does not warrant that:
a. The Services provided within this agreement will be uninterrupted or error free;
b. The Services will meet your requirements, other than as expressly set out in this agreement;
c. The Services will not be subjected to external hacking attempts, viruses, worms, denial of service attacks, or other persons gaining unauthorised access to the Service.
3. Launch Websites does not make or give any express or implied warranties including, without limitation, the warranties of merchantability or fitness for a particular purpose, or arising from a course of dealing, usage or trade practice, with respect to any goods or services provided under or incidental to this agreement.
4. No oral or written information or advice given by Launch Websites or its resellers, agents, representatives or employees, to the Client, shall create a warranty or in any way increase the scope of the express warranties hereby given, and the client should not rely on any such information or advice.
5. In no event will Launch Websites be liable to the client for any loss of business, contracts, profits or anticipated savings or for any other indirect or consequential or economic loss whatsoever.

*All content, unless stipulated in Client's package, must be supplied by Client including logos, videos, text etc.
Domain Names
Launch Websites requires the domain name of all proposed packages to be registered or transferred to Launch Websites.
Domain Names shall be remain locked for the entire 12 month contract. Domain Names will be unlocked at the request of clients fulfilling the entire full price of website package.
Support Services
Support Services means commercially reasonable technical support and assistance to maintain website function, including correcting any errors or deficiencies, but shall not include the development of enhancements to the website or other services outside the scope of the proposal. During the first 12 months Launch Websites will assist with one edit per month. CMS tutorials will be given upon request to self maintain your website.
Please note: All packages that include unlimited pages, Launch Websites will set up the first 10 pages (information websites) and 10 products (ecommerce websites).
In completion of the first 12 months following expiration of this agreement (“Support Period”), if any, Launch Websites shall provide continued support options available.
SEO Services
Launch Websites will provide Client with Search Engine Optimisation Services (hereinafter referred to as “SEO”) as described in this contract. (Company name) will use specific keywords and/or phrases to improve the search engine ranking of, and/or position the contents of the Client's website, all accounts must be current and paid to date to receive SEO services.
Launch Websites SEO services are intended to provide the Client with increased exposure in search engines.
Generally search engines take 3-4 weeks to index your website, once you are live and your SEO has been optimised. We then allow 6-8 weeks to get a general idea of where you are. If you have a business with a lot of competition, you should be on pages 5-8, if you don't have as much competition, we should expect it to be on pages 3-4. Once you are live for 3 months and you are not happy with your progress, please let us know and we will go through the analytics to improve your ranking.
Launch Websites SEO Services will include:
- Researching keywords and phrases to select appropriate, relevant search terms (phrases limits apply in each package).
- Editing and/or optimisation of text for various html tags, meta data, page titles, and page text as necessary (up to 10 pages).
- Analysis and recommendations on optimal website structure, navigation, code, etc. for best SEO purposes.
- Recommend, as required, additional web pages or content for the purpose of “catching” keyword/phrase searches.
- Inclusion of Google Analytics tracking for clients monitoring in administrator access.
For the purposes of receiving professional SEO services, Client agrees to provide the following:
-Administrative/backend access to the website for analysis of content and structure.
-Permission to make changes for the purpose of optimisation.
-Authorisation to use client pictures, logos, trademarks, web site images, pamphlets, content, etc., for any use as deemed necessary by Launch Websites for search engine optimisation purposes.
-If Client’s site is lacking in textual content, Client will provide additional text content in electronic format for the purpose of creating additional or richer web pages.
Launch Websites can create site content at additional cost to the Client.
Client must acknowledge the following with respect to SEO services:
- All fees are non-refundable.
- All fees, services, documents, recommendations, and reports are confidential.
- Launch Websites has no control over the policies of search engines with respect to the type of sites and/or content that they accept now or in the future.
- The Client’s website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory.
- Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms, and other competitive factors, Launch Websites does not guarantee #1 positions or consistent top 10 positions for any particular keyword, phrase, or search term.
- Google has been known to hinder the rankings of new websites (or pages) until they have proven their viability to exist for more than several months. This is referred to as the “Google Sandbox.”
- Launch Websites assumes no liability for ranking/traffic/indexing issues related to Google Sandbox penalties.
- Occasionally, search engines will drop listings for no apparent or predictable reason.
- Often, the listing will reappear without any additional SEO.
- Some search directories offer expedited listing services for a fee. If the Client wishes to engage in said expedited listing services (e.g., paid directories), the Client is responsible for all paid for inclusion or expedited service fees. Launch Websites can offer a list of expedited listing services upon request.
- Linking to “bad neighbourhoods” or getting links from “link farms” can seriously damage all SEO efforts. Launch Websites does not assume liability for the Client’s choice to link to or obtain a link from any particular website without prior consultation.
- Launch Websites is not responsible for changes made to the website by other parties that adversely affect the search engine rankings of the Client’s website.
- Additional Services not listed herein (such as managing pay-per click campaigns, content writing, directory listing etc.) shall be provided for a quoted fee.
- The Client guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to Launch Websites for inclusion on the website above are owned by the Client, or that the Client has received permission from the rightful owner(s) to use each of the elements, and will hold harmless, protect, and defend Launch Websites and its subcontractors from any liability or suit arising from the use of such elements.
- Launch Websites is not responsible for the Client overwriting SEO work to the Client’s site. (e.g., Client/webmaster uploading over work already provided/optimized).
The Client will be charged an additional fee for re-constructing content. Notwithstanding any other provision of this Agreement, Launch Websites obligation to provide SEO services shall cease in the event the Client’s conduct overwrites the SEO services provided. For example, if the client uploads content without consulting Launch Websites, then Launch Websites obligation to provide SEO services shall terminate.
Client Responsibilities
Client acknowledges that it shall be responsible for performing the following in a reasonable and timely manner:
- Provision of Client Content in a form suitable for reproduction or incorporation without further preparation, unless otherwise expressly provided in the proposal.
- Final proofreading and in the event that Client has approved work completed but errors, such as, by way of example, not limitation, typographic errors or misspellings, remain in the finished product, Client shall incur the cost of correcting such errors.
Client Content
Client Content, including all pre-existing Trademarks, shall remain the sole property of Client or its respective suppliers, and Client or its suppliers shall be the sole owner of all rights in connection therewith. Client hereby grants to Designer a non-exclusive, non-transferable license to use, reproduce, modify, display and publish the Client Content solely in connection with Designer’s performance of the Services and limited promotional uses of the work as authorised in this.
Back-up content is kept on our servers for 3 months after the Client cancels their subscription. If the Client has continued their subscription after 12 months, the client can request to have their website downloaded at any time.
Third Party Materials
All Third Party Materials are the exclusive property of their respective owners.
Launch Websites shall inform Client of all Third Party Materials that may be required to perform the Services or otherwise integrated into the Final Art.
Under such circumstances Designer shall inform Client of any need to license, at Client’s expense, and unless otherwise provided for by Client, Client shall obtain the license(s) necessary to permit Client’s use of the Third Party Materials consistent with the usage rights granted herein. In the event Client fails to properly secure or otherwise arrange for any necessary licenses or instructs the use of Third Party Materials, Client hereby indemnifies, saves and holds harmless Launch Websites from any and all damages, liabilities, costs, losses or expenses arising out of any claim, demand, or action by a third party arising out of Client’s failure to obtain copyright, trademark, publicity, privacy, defamation or other releases or permissions with respect to materials included in the Final Art.
Website Changes
Unless otherwise specified in the proposed package Clients will be charged for changes requested to be made to their website. Clients will be quoted for any extra work required.
Extra work outside of the proposed package may be delivered in a modified time schedule.
Payments
Clients shall pay Launch Websites the amounts as proposed in either web design packages or quotes as scheduled.
Late payments exceeding 14 days will incur a late fee as listed in Late Fees and Charges.
Late payments exceeding 30 days may also result in suspension of accounts and will incur a reinstatement fee as listed in Fees and Charges.
Late Fees and Charges
Late Payments exceeding 14 days will incur a fee of 9.95 in addition to the outstanding amount.
Late Payments exceeding 30 days will have accounts suspended an will incur a late fee of 9.95 plus the outstanding amount and an additional $30.00 reinstatment fee.
Failure to complete a 12 month contract will incur the remaining cost of the scheduled costs with an additional 30% fee of the entire scheduled amount.
Launch Websites reserves the right to withhold delivery and any transfer of ownership of any work if accounts are not current or overdue invoices are not paid in full. All grants of any license to use or transfer of ownership of any intellectual property rights under this Agreement are conditioned upon receipt of payment in full which shall be inclusive of any and all outstanding additional costs, expenses, and fees, charges, or the costs of Changes.
Client Conduct
The Client signified acceptance of Client Conduct Of Terms and Conditions and any applicable Registrant Agreement, when they submitted their order to Launch Websites for Services, and that order was accepted.
1. The client agrees to conduct themselves in an appropriate and professional manner when seeking Customer Service from Launch Websites.
2. Launch Websites staff will not respond to requests for Customer Service if the Client:
a. Has used offensive, obscene or derogatory language;
b. HAS USED EXCESSIVE CAPITALISATION FOR THE PURPOSE OF SHOUTING;
c. Has made threats of violence, legal action or referral to an external party (e.g. Department of Fair Trading);
d. Has posted the issue or question on a public medium, such as forums or blogs, before it has been either raised with or answered by Launch Websites staff within an appropriate timeframe.
3. Breach of Client conduct may also result in termination of Client services.
4. Any cancellation deemed necessary by Launch Websites will result in the termination of your subscription without refund.
5. If your subscription is cancelled you will be sent your domain password (EPP code) should you decide to use another host. Your new hosting will need this code to initiate the transfer away from Launch Websites.
WARRANTIES AND DISCLAIMERS
The internet is a complex network of equipment, services, and providers of information, thus services may not be available to you at all times. The Client
acknowledges that the hosting services and other services may not always be available.
LIMITATIONS OF LIABILITY
1. Limit. In no event shall the cumulative liability of Launch Websites (including it's representatives and resellers) to the client for any claims arising out of or relating to this agreement, exceed the amount paid by the Client during the 6 month period preceding the date on which the Client makes it's first claim for damages.
2. Indirect Damages. Launch Websites (including it's representatives and resellers) shall not be liable to a client or it's end users in any way whatsoever, for any indirect, punitive, incidental, special or consequential damages, including but not limited to, loss of data, revenue or profit resulting from or arising in connection with this agreement or the provision or use of the hosting services. This limitation shall apply whether or not such damages are foreseeable, or whether Launch Websites has been advised of the possibility of such damages.
Changes
Launch Websites may amend our Terms and Conditions at any time. At all times Launch Websites will make available the current terms for client review on our website. Changes to this agreement will become effective upon their publication to our website, and furthermore, continued use of the Service(s) constitutes acceptance of the amended terms. If you do not wish to accept the amended terms, you may request cancellation of your Service/s.
